Master Service Agreement

The service contract between your society and RentWithoutBroker

This Master Service Agreement (MSA) governs the supply of the society management software to your registered co-operative housing society. It sits alongside the Society Subscription Terms and the general Terms & Conditions; where this MSA and those pages differ on a commercial point, this MSA prevails for the accepting society.

1. Parties

This agreement is between the accepting co-operative housing society (the "Society") and Amar G. Jagtap, sole proprietor, trading as RentWithoutBroker, with a place of business at Pune, Maharashtra, India ("RWB", "we", "us").

Acceptance is recorded in the platform against the name, designation and account of the committee member who accepts, together with the date, the document version and the network address used. That record is the evidence of agreement; no separate paper signature is required unless the Society asks for one.

2. Scope of service

RWB provides a hosted, multi-tenant software platform for residential society operations. The modules available to the Society depend on the subscription plan it holds.

  • Resident, flat and household records, including owner/tenant relationships and per-person permissions.
  • Visitor and gate management, including passes, approvals and gate logs.
  • Parking, amenities, assets, notices, forum, polls, meetings, documents and gallery.
  • Society finance: bills, collections, funds, vendor payables and reports.
  • Help desk, service requests, workforce and vendor management.
  • Notifications by push, in-app, email and (where enabled) SMS or WhatsApp.

3. Fees and subscription

Fees are charged per flat per month or per year on the plan the Society selects, as published on the pricing page at the time of purchase. Taxes are additional where applicable.

Subscription mechanics — trials, invoicing, renewal, upgrades, downgrades and cancellation — are governed by the Society Subscription Terms, which form part of this agreement.

Money the Society collects from its own residents (maintenance, bills, fines, bookings) settles into the Society's own connected payment gateway account. RWB does not hold, pool or route resident collections through its own account.

4. Term and renewal

This agreement starts on the date the Society accepts it and continues for as long as the Society holds an active or trial subscription. It renews automatically with each subscription renewal.

Either party may decline renewal by notice before the end of the then-current billing period.

5. Service availability and support

RWB targets high availability but does not offer a contractual uptime percentage or service credits on standard self-serve plans. Planned maintenance is announced in advance in the platform wherever practical.

Support is provided by email and phone during Indian business hours, with best-effort response targets: same working day acknowledgement for service-affecting issues, and two working days for general queries.

A Society on the Township or Enterprise plan may request a negotiated agreement with committed availability targets, defined response times, a named point of contact and a different liability cap. Such terms only apply once signed by both parties.

6. Society responsibilities

  • Ensure the person accepting this agreement is authorised by the managing committee to bind the Society.
  • Keep committee, resident and staff records accurate, and remove people who no longer live in or work for the society.
  • Use the platform lawfully and only for the operation of the society; do not use resident data for political canvassing, unsolicited marketing or resale.
  • Manage the permissions it grants its own committee members, guards and staff, and keep those accounts secure.
  • Give residents the notices required of it as the entity responsible for their personal data, and route resident privacy requests through the platform's tools.
  • Own and operate its payment gateway account, and be responsible for the correctness of the amounts it bills residents.

7. RWB responsibilities

  • Provide the subscribed modules with reasonable skill and care.
  • Apply the technical and organisational security measures described in the Data Processing Agreement and the security policy.
  • Process society and resident data only on the Society's instructions and only to run the platform.
  • Keep the Society informed of material changes to modules, pricing or these terms before they take effect.
  • Enable export of the Society's data during the subscription and through the retention window after it ends.

8. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform this agreement. Society records, resident data, financial figures and internal committee discussions are the Society's confidential information. Platform pricing schedules, roadmaps and non-public technical material are RWB's confidential information.

These obligations survive termination and do not apply to information that is public, independently developed, or required to be disclosed by law.

9. Intellectual property

RWB owns the platform, its software, design and documentation. The Society receives a non-exclusive, non-transferable right to use it during the subscription.

The Society owns its own content and records. Nothing in this agreement transfers ownership of society or resident data to RWB.

10. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental or consequential loss, loss of profits, or loss of goodwill.

RWB's total aggregate liability under this agreement is limited to the subscription fees actually paid by the Society in the twelve months immediately before the event giving rise to the claim.

Nothing limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be limited. Township and Enterprise societies may negotiate a different cap in a signed agreement.

11. Suspension

RWB may suspend access where fees remain unpaid after notice, where the platform is being used unlawfully, or where continued access creates a security risk to other societies. Wherever practical, notice and an opportunity to fix the issue are given first. During suspension the Society retains the right to export its data.

12. Termination and exit

Either party may terminate for material breach that is not remedied within 30 days of written notice. The Society may also terminate by cancelling its subscription.

On termination, access moves to read-only and then closes at the end of the retention window described in the data retention policy. Before that window closes, the Society may export its records; after it closes, data is deleted or irreversibly anonymised.

13. Changes to this agreement

RWB may publish a new version of this agreement. Material changes are notified in the platform, and the Society is asked to accept the new version. Continuing to use the platform after a new version takes effect, without accepting it, does not remove the Society's right to terminate instead.

14. Governing law and disputes

This agreement is governed by the laws of India. The courts at Pune, Maharashtra have exclusive jurisdiction. The parties will attempt good-faith resolution, including through the grievance process, before starting proceedings.
